UK and US commercial addendum

For clients whose principal place of business is in the United Kingdom, the Master Services Agreement and all Scopes of Work are governed by the laws of England and Wales. Any dispute that cannot be resolved by mutual agreement within 30 days of written notice shall be referred to the exclusive jurisdiction of the courts of England and Wales.

For clients whose principal place of business is in the United States of America, the Master Services Agreement and all Scopes of Work are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute not resolved by negotiation within 30 days of written notice shall be subject to binding arbitration under the JAMS Streamlined Arbitration Rules, with proceedings conducted in English. Nothing in this clause prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

Fees are quoted and invoiced in the currency applicable to the client's locality:

• South African clients: South African Rand (ZAR)
• United Kingdom clients: Pounds Sterling (GBP)
• United States clients: United States Dollars (USD)

The applicable currency is confirmed in the Scope of Work. Mid-market exchange rates at the date of invoice apply to any currency conversions. Inboxd reserves the right to reprice at the start of each contract year if material exchange-rate movement (greater than 10%) has occurred since the last pricing review.

South African-registered clients: Value Added Tax (VAT) at the standard rate (currently 15%) is added to all invoices. Inboxd's VAT registration number is 4150269233.

UK clients: Invoices do not include South African VAT. UK clients that are VAT-registered may be subject to the VAT reverse-charge mechanism under HMRC rules. Inboxd is not registered for UK VAT and does not charge UK VAT. Clients are responsible for their own UK VAT obligations.

US clients: Inboxd is not registered for US sales tax and does not charge US sales tax. Clients are responsible for any applicable state or local tax obligations on services received from a foreign supplier.

Inboxd operates Monday to Friday, 08:30-17:00 South African Standard Time (SAST), which is 06:30-15:00 UTC year-round. South Africa does not observe daylight saving time.

• PDT (US West Coast, Mar-Nov): 23:30-08:00 (previous day)

Response times specified in the Master Services Agreement are measured in Business Days (SAST). UK and US clients are encouraged to submit requests before 13:00 UTC to receive a same-Business-Day acknowledgement.

UK and US clients are subject to the Data Processing Addendum available at inboxd.agency/terms/dpa, which addresses obligations under UK GDPR, EU GDPR, and the California Consumer Privacy Act (CCPA / CPRA). The DPA forms part of the Master Services Agreement for all UK and US engagements.

Inboxd may update this addendum at any time. UK and US clients under active contracts will be notified by email at least 30 days before material changes take effect. Continued engagement after the effective date of an update constitutes acceptance.
